Privacy Policy

This Policy explains how Odanexus Inc., a Puerto Rico corporation (“Odanexus,” “we,” “us,” or “our”), handles personal information through odanexus.com, Citanexus, and Odanexus services that link to this Policy. A product-specific notice may supplement or replace this Policy for that product.

Information we collect

On the public website, we collect the name, company, email address, message, and language submitted through the contact form. We also process the submitting IP address and basic request information to secure and rate-limit the form. If you book a call, Cal.com collects the scheduling information you provide under its own privacy terms.

Product information may include account and profile details; names, phone numbers, emails, appointment history, selected services, notes, and payment status; payroll and employee records; bank account numbers; timesheets; project, contract, budget, inventory, invoice, signature, support, and audit information; subscription and transaction references; and technical logs such as sign-ins, errors, downloads, and security events.

We receive information directly from you, from the business that provides your account or submits information about its personnel or customers, and from service providers used to operate the services. Do not submit medical information, Social Security numbers, children’s information, or other data the applicable service is not designed and authorized to process.

How we use information

We use information to respond to inquiries; schedule consultations; administer accounts; provide booking, operations, reporting, payroll-support, ecommerce, POS, payment, and support functions; authenticate users; prevent abuse; maintain security; process subscriptions; troubleshoot and improve services; comply with contracts and law; and establish, exercise, or defend legal claims.

We do not sell personal information, use client business data for advertising, or use client business data to train general-purpose artificial-intelligence models. Inquiry information is used to answer the inquiry and manage a resulting business relationship—not for newsletters or automated promotional campaigns.

Business customers and end-user data

For information a business customer submits about its workers, customers, or other individuals, that business determines why the information is collected and is responsible for required notices, permissions, and lawful use. Odanexus processes that information to provide the contracted service according to customer instructions, applicable agreements, and law.

Service providers and disclosures

We disclose information only as needed to operate the relevant service, complete transactions, follow lawful customer instructions, protect rights and security, complete a corporate transaction, or comply with legal process. Providers may process information in the United States and other locations where they operate.

  • Public website: Vercel (hosting), Resend (contact-form email delivery), and Cal.com (optional scheduling).
  • Citanexus: DigitalOcean and Supabase (infrastructure and data), Stripe (subscriptions and payments), and Resend (service email).
  • Contractor platforms: Supabase and DigitalOcean, as configured for the engagement.
  • Ecommerce and POS systems: Vercel, Supabase, Stripe, and Resend, as configured for the product or customer.
  • Stripe processes payment-card information under its own terms. Odanexus may receive payment status, transaction identifiers, and limited billing details.

Retention and deletion

We generally retain public-site inquiries for up to 24 months after the last interaction. If an inquiry becomes a client relationship, relevant records may be retained with contract, accounting, support, and legal records for the period required by the relationship or law.

Product data is retained while the account or engagement is active. Unless a contract or law provides otherwise, customer data is scheduled for deletion from active systems 30 days after termination. Residual copies may remain in protected backups until they expire through the normal backup cycle, currently up to 90 days. Transaction, tax, fraud-prevention, security, and legal records may be retained longer when reasonably necessary or required by law.

Security and incidents

We use safeguards appropriate to the information and service, including encrypted transport, provider-supported encryption at rest for production data, access restrictions, backups, and logging of downloads and specified sensitive actions. Ordinary viewing of every record is not universally logged. No system is completely secure, and we cannot guarantee absolute security.

If an incident triggers a legal notification duty, we will notify affected persons and authorities as required by applicable law. Customers must promptly report suspected unauthorized account access.

Cookies and similar technologies

The public site does not store a language-preference cookie. Products use necessary authentication, security, and session technologies. As of the effective date, the public site does not use advertising pixels or analytics cookies. If that changes, we will update this Policy and implement any consent controls required by law.

Your choices and requests

Subject to identity verification, contractual responsibilities, and law, you may request access, correction, deletion, or a portable export of personal information controlled by Odanexus. Product customers may request an export; we target delivery within 48 hours, although complex, unusually large, security-sensitive, or legally restricted requests may take longer. End users whose information is controlled by an Odanexus business customer should normally contact that business first.

Adults and business use

The website and services are intended for businesses and adults age 18 or older. They are not directed to children, and we do not knowingly collect personal information from children under 13. Contact us if you believe a child submitted information so we can investigate and delete it when appropriate.

Changes, language, and contact

We may update this Policy when our services or practices change. We will post the revised date and provide additional notice when required. If the English and Spanish versions conflict, the Spanish version controls to the extent required by Puerto Rico law.

Website Terms of Use

These Website Terms govern access to odanexus.com. They do not by themselves create a software subscription or custom-development engagement; those require an accepted order, subscription flow, statement of work, or signed agreement.

Acceptance and eligibility

By using the website, you agree to these Website Terms. You must be at least 18 and legally able to enter an agreement. If you use the website for an organization, you represent that you are authorized to act for it.

Content and permitted use

Website content is general information and is not legal, tax, accounting, cybersecurity, or other professional advice. You may use the website to evaluate Odanexus and its services. You may not interfere with the website, bypass security, introduce malicious code, overload or unlawfully scrape the service, impersonate another person, or use its content unlawfully.

Intellectual property and third-party links

Odanexus and its licensors own the website, branding, design, text, graphics, and software, except material identified as belonging to others. No rights are granted except the limited right to use the website under these Terms. Third-party links, including Cal.com, are provided for convenience; their services and policies are their responsibility.

Disclaimers and liability

The website is provided “as is” and “as available.” To the maximum extent permitted by law, Odanexus disclaims implied warranties concerning the website and is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from its use. Odanexus’s aggregate liability arising solely from the public website will not exceed US $100. These limitations do not apply where prohibited by law.

Law, venue, and changes

Puerto Rico law governs these Website Terms, without regard to conflict-of-law principles. Subject to non-waivable law, disputes relating solely to the website will be brought in the state or federal courts located in San Juan, Puerto Rico. We may update these Terms prospectively by posting a revised date. Continued use after an update constitutes acceptance.

Product and Subscription Terms

These Product Terms apply when a customer accepts them during signup, in an order, or in another agreement for Citanexus or an Odanexus product. A signed agreement, order form, or statement of work controls if it expressly conflicts with these Product Terms.

Accounts and authorized use

The customer is responsible for authorized users, credentials, permissions, submitted information, and account activity. The customer must promptly report suspected compromise and ensure its use, instructions, and data comply with law and third-party rights.

Subscriptions, cancellation, and refunds

Paid subscriptions renew automatically for successive periods matching the selected billing cycle until canceled. The customer authorizes Stripe and Odanexus to charge applicable fees, taxes, and agreed usage charges using the payment method on file. Pricing and the billing period are shown at signup or in the applicable order.

A customer may cancel at any time through the available account method or by contacting Odanexus. Cancellation takes effect at the end of the current paid period unless stated otherwise. Payments are non-refundable and no prorated credits are provided, except when required by law or expressly agreed in writing. Trial, discount, and promotional terms displayed at signup control for that offer.

Customer data and privacy responsibilities

As between the customer and Odanexus, the customer retains its rights in customer data. The customer authorizes Odanexus and its providers to host, process, transmit, back up, and disclose that data as necessary to provide and secure the service, follow lawful instructions, and comply with law.

The customer is responsible for notices, permissions, lawful instructions, retention requirements, and data accuracy. Unless expressly agreed for an appropriately configured service, customers must not submit medical information, Social Security numbers, children’s information, or data subject to special requirements the service is not designed to handle.

Ownership

Odanexus owns Citanexus, its other standard products, and related technology, documentation, branding, improvements, and general know-how. The customer receives a limited, non-exclusive, non-transferable right to use a subscribed product during the subscription term for internal business purposes.

For custom-development engagements, the customer owns the bespoke source code, project documentation, and training materials created specifically for it upon full payment, as stated in the signed agreement. Third-party and open-source materials remain governed by their licenses. Pre-existing Odanexus tools or generally reusable components are excluded unless expressly assigned.

Acceptable use

Users may not violate law or rights; send unlawful or abusive content; introduce malware; probe or defeat security; obtain unauthorized access; interfere with availability; resell or sublicense access without permission; reverse engineer except where the restriction is prohibited; or develop a competing product through unauthorized extraction of design, data, or functionality.

Service changes, availability, and support

We may maintain and improve products and change features without materially eliminating paid core functionality during a current term. Services may occasionally be unavailable because of maintenance, failures, security events, or circumstances outside reasonable control. Only service levels expressly included in a signed agreement or order are binding.

Suspension and termination

We may suspend access when reasonably necessary for security risk, unlawful use, nonpayment, material breach, or harm to the service or others. When practical, we will provide notice and an opportunity to cure. Either party may terminate as provided in the applicable order or agreement. Export and deletion follow the Privacy Policy and any controlling agreement.

Warranties and liability

Except for express commitments in a signed agreement, products are provided “as is” and “as available,” and implied warranties are disclaimed to the maximum extent permitted by law. Odanexus does not guarantee uninterrupted operation, a particular business result, or that every error will be corrected.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, goodwill, or data. Odanexus’s aggregate liability will not exceed fees paid or payable for the affected product during the 12 months before the event. These limits do not apply where prohibited by law or where a signed agreement expressly provides otherwise.

Indemnity

The customer will defend and indemnify Odanexus against third-party claims arising from customer data, unlawful instructions or use, or violation of another person’s rights, except to the extent caused by Odanexus. Odanexus will promptly notify the customer and reasonably cooperate. A signed agreement may replace this provision.

Electronic communications, law, and venue

The customer agrees to receive account, billing, security, legal, and transactional communications electronically. Electronic acceptance and signatures may be used where permitted by law. Puerto Rico law governs. Subject to non-waivable law and any controlling signed agreement, disputes will be brought in state or federal courts in San Juan, Puerto Rico after a good-faith attempt at direct resolution.

General terms and contact

These Product Terms, the applicable order, the Privacy Policy, and any signed agreement are the complete agreement for their subject matter. Invalid provisions will be limited without invalidating the remainder. Failure to enforce is not a waiver. The customer may not assign without consent except in a permitted corporate transaction.
